6. Payment Terms

6.1 Fees and Pricing

Service fees are specified in individual engagement proposals or agreements. All prices are quoted in Thai Baht (฿) unless otherwise stated.

6.2 Payment Schedule

Payment terms are outlined in your specific engagement agreement. Typical arrangements include upfront deposits, milestone payments, or monthly retainers depending on service type.

6.3 Late Payment

Invoices are payable within the timeframe specified. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Fees paid for completed work are generally non-refundable. If you wish to terminate an engagement early, we will work with you to reach a fair resolution based on work completed and expenses incurred.

7. Confidentiality

We maintain strict confidentiality regarding all client information and business details shared during our engagement. We will not disclose your confidential information to third parties except:

8.3 Service "As Is"

Our services are provided on an "as is" basis. We make no warranties, express or implied, regarding service outcomes beyond our commitment to professional competence and good faith effort.

9. Limitation of Liability

To the maximum extent permitted by Thai law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim
• We are not liable for indirect, incidental, consequential, or special damages including lost profits or business opportunities
• We are not responsible for losses resulting from client's failure to implement recommendations or from factors outside our control
• Claims must be brought within one year of the event giving rise to the claim

10. Indemnification

You agree to indemnify and hold Lumivox harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these terms, your use of our services, or your violation of any law or third-party rights.

11. Termination

11.1 Termination by Either Party

Either party may terminate an engagement by providing written notice according to terms specified in the individual engagement agreement. Early termination may result in fees for work completed and committed expenses.

11.2 Effect of Termination

Upon termination:

• You remain obligated to pay for services rendered through the termination date
• Confidentiality obligations continue indefinitely
• You retain rights to deliverables provided before termination
• We will return or destroy your confidential information as requested

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
